1. GENERAL PROVISIONS. TERMS AND DEFINITIONS

1.1 The Agreement is an official public offer DIGITAL SPARROW LLP (from now on referred to as the "Administration"), on the one hand, addressed to an unlimited number of individuals who have total legal capacity (from now on referred to as the "User"), on the other hand, from now on jointly referred to as the "Parties," and each individually referred to as a "Party," to connect on equal terms for all users a recurring payment service on the conditions outlined in this Agreement.

1.2 "Recurring payments" ("Auto-payment") - a service for making regular automatic transfers of funds for a Subscription from the User's bank card to the benefit of the Administration for providing access to an online service based on the User's (cardholder's) prior acceptance.

"Subscription"—obtaining access to an online service for a monthly payment in favor of the Administration that provides it. The prices and variations of the Subscription to the online service, depending on the critical parameters of access rights, limits, volume, and term of access, are published on the website https://simsdynastytree.com/ around the clock and are an integral part of the Agreement.

1.4. The connection of recurring payments is made when the User accepts the terms of the Agreement by accepting. As a result, the User becomes a party to the Agreement. Acceptance is equivalent to the conclusion of the Agreement in a simple written form on the terms set forth therein, without the parties signing its written copy, which creates mutual rights and obligations for the parties, the non-performance of which results in the legal liability established by law.

1.5. Acceptance confirms that the User has his own will to conclude the Agreement, has previously familiarized himself with the provisions of the Agreement, fully and unconditionally accepts all the terms contained therein in the form in which they are published on the website without signing its written copy, understands the legal nature of the Agreement, its content and essential conditions, as well as the legal consequences of its conclusion.

1.6. The current version of the Agreement is published by the Administration on the website at the permanent URL address https://simsdynastytree.com/ in the section "Subscription Agreement," based on the principles of round-the-clock and free access for any visitor.

1.7. If the User does not agree with the terms of the Agreement, either in whole or in part, the Administration strongly urges such User to refrain from accepting, using the website (online service), and purchasing a Subscription, as the specified legal relationship of the parties is entirely regulated by the provisions of the Agreement, as an integral part of the Public Offer.

1.8. If the User has limited legal capacity, the Administration proceeds from the fact that the acceptance is made in his interests by a lawful representative who has familiarized himself with and fully agreed with the Agreement and has sufficient rights and authority to act on his behalf and in his interests.

1.9. To interpret the Agreement, the parties use the basic terms established in the Public Offer. In the Agreement's text, these terms may be used in a different case, in the singular or plural, with a lowercase or uppercase letter, or in abbreviations.

The Agreement may contain other terms, the interpretation of which takes into account the literal meaning of the words and expressions contained therein. In all other cases, the terms are interpreted by applicable law or business customs.

2. CONNECTION TERMS

2.1. The User's bank card is linked to the website at the time of Subscription payment by entering the bank card details: card number, expiration date, and security code (CVV/CVC). If the provided data is correct and valid, and the bank card is technically feasible, the specified bank card is assigned the status of a Linked Card.

2.2. The User understands and agrees that the Administration uses the Linked Card to make regular payments by the purchased Subscription for subsequent non-cash payment of the Subscription cost without additional input of bank card details and payment confirmation.

2.3. The acceptance and the actions specified in clause 2.1. of the Agreement are equivalent to the User's handwritten signature and consent to connect the "Auto-payment" service, which provides the User with the ability to pay for the Subscription through regular automatic debits (transfers) of funds from their bank card to the benefit of the Administration.

2.4. By accepting and performing the actions specified in clause 2.1. of the Agreement, the User instructs to issue orders on their behalf for the debiting of funds for providing access to the online service from the User's account (to which the Linked Card is attached) to the benefit of the Administration by the terms of the subscribed Subscription and to send instructions to the User's issuing bank through an acquiring bank.

2.5. The User consents to and instructs the Administration to automatically, periodically, by the Subscription subscribed by the User, debit funds from their account (to which the Linked Card is attached) to the benefit of the Administration upon their instruction given in the manner provided for in the Agreement, and acknowledges that instructions to debit funds from their account are instructions of the User. The actions of the acquiring bank, aimed at debiting funds to the benefit of the Administration, are carried out with the consent and on behalf of the User.

2.6. Funds debiting by the Agreement begins automatically after the User enters sufficient details of the Linked Card in the payment form window and clicks the "Pay" button (or another functionally similar button).

2.7. The issuing bank direct debits funds from the User's bank card based on the User's prior consent to the debit, on the terms provided for in the subscribed Subscription. The processing center transmits the request for the transfer of funds, specifying the amount of the transfer, to the issuing bank under agreements concluded with the Administration.

2.8. The Administration does not store or process the User's bank card details, only providing requests to the processing center and the issuing bank for the transaction on the bank card.

2.9. The Administration does not guarantee the possibility of a transaction on the User's bank card.

3. PROCEDURE AND PERIODICITY OF DEBITS

3.1. The Subscription period, equal to one month, begins from the date of Subscription payment and ends on the corresponding day of the calendar month following the Subscription payment date. The subscription period, equal to one year, begins from the subscription payment date and ends on the corresponding month and day of the following calendar year.

3.2. Funds are debited from the User's bank card to pay the Subscription for a new period automatically on the last day of its validity unless the User disables the "Auto-payment" service before that day. Funds transferred from the bank card before the User disables (rejects) the "Auto-payment" service are non-refundable, except as provided by the Agreement and the legislation.

3.3. Funds are debited from the User's bank card in the amount of the price of the previously selected Subscription. The Administration publishes the cost of the Subscription on the website. In case of insufficient funds on the bank card for the debit, the Administration has the right to repeat the debit request until the required amount is debited in full or consider this circumstance as the User's refusal of the Agreement and the License Agreement from the date of the missed payment.

Access to the Subscription is considered granted to the User for the specified period of the Subscription in full from the moment the User pays the Subscription cost, provided that the payment is reflected in the electronic payment accounting system of the online service.

3.5. The online service's obligations to provide the User with access to the Subscription are considered fulfilled before the User, regardless of whether the User requested the corresponding performance from the online service during the Subscription period and irrespective of the actual number and volume of the User's use of the corresponding functions within the Subscription.

3.6. When subscribing, the User instructs the online service to charge a fee set by the Administration for each selected Subscription period on the day of payment of the corresponding Subscription (subscription fee) until the User cancels the Subscription renewal for the next Subscription period.

3.7. The User understands and agrees that any Subscription by default is made indefinitely from the date of payment of the first Subscription period unless otherwise specified at the time of payment. The User may refuse to renew the Subscription for the next Subscription period. In this case, the User's access to the Subscription is terminated from the day following the last day of the paid Subscription period.

4. REFUSAL OF RECURRING PAYMENTS. TURNING OFF THE AUTO-PAYMENT SERVICE.

4.1. The User has the right to check the status and validity period of the Subscription in their account or cancel it. To do this, the User needs to go to their account at the address https://simsdynastytree.com/cabinet/profile and click on the "Cancel Subscription" button, or send an email to the Administration's email address: info@simsdynastytree.com with the subject "Disconnection (refusal) from the Auto-payment service" and a request to turn off the "Auto-payment" service, stated in an accessible form. These actions constitute a written refusal by the User to use the "Auto-payment" service.
